Qantara AI is a business introduction platform designed to facilitate connections between businesses, entrepreneurs, and professionals. The Service enables users to create profiles, search for potential business partners, and receive introductions to relevant contacts. Qantara AI acts as a neutral intermediary and does not directly participate in any transactions between users.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. You represent and warrant that all information provided during registration is accurate, complete, and current. You agree not to access or use the Service if you are prohibited by law or if you do not meet these eligibility requirements.

4. Account Registration

4.1 Account Creation

To use certain features of the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.2 Verification

Qantara AI may require verification of your identity and business details before granting access to certain features. This verification may include document submission, phone verification, or other identification methods. We reserve the right to reject applications or suspend accounts that fail verification or provide false information.

5. User Conduct

5.1 Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Harass, threaten, defame, or abuse other users
• Post false, misleading, or fraudulent information
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the normal functioning of the Service

• Violate any applicable laws, regulations, or third-party intellectual property rights

5.2 Business Standards

Users must conduct all business dealings on the platform professionally and ethically. Qantara AI reserves the right to investigate complaints and suspend or terminate accounts of users who violate these standards or engage in fraudulent, dishonest, or harmful behavior.

6. Fees and Payment

6.1 Commission Structure

Qantara AI charges a commission on successful business transactions facilitated through the platform:

• First Deal Commission: 5% of transaction value
• Repeat Business Commission: 3% of transaction value
• Long-term Partnership Commission: 2% of transaction value
• Annual Partnership Commission: 1% of transaction value

Commissions are calculated based on the full value of the transaction, including any fees, services, or ancillary costs. Both parties to a transaction are responsible for ensuring that any applicable taxes or regulatory fees are properly accounted for.

6.2 Payment Terms

Invoices are issued upon completion of a qualifying transaction. Payment is due within 30 days of invoice issuance. Failure to pay invoices in a timely manner may result in suspension of account privileges or termination of service. Qantara AI reserves the right to pursue legal remedies for unpaid invoices, including collection and recovery of reasonable attorneys' fees.

6.3 Attribution

By using the Service, you agree to clearly attribute any introductions or business opportunities to Qantara AI in writing when they have resulted from your use of the platform. This attribution requirement ensures transparency and allows us to accurately track and verify qualifying transactions for commission purposes.

7. Matching and Introductions

7.1 No Guarantee

While Qantara AI uses advanced matching algorithms and professional judgment to identify potential business partners, we make no guarantee that any introduction will result in a successful business relationship or transaction. The platform is provided on an "as-is" basis, and success depends on the effort, compatibility, and business acumen of the parties involved.

7.2 Your Responsibility

You are solely responsible for evaluating the suitability of any introduction, conducting due diligence, and making informed business decisions. Qantara AI does not investigate the background, credentials, or reputation of users and does not endorse or warrant any user's qualifications or trustworthiness. You use the introductions provided at your own risk.

8. Intellectual Property

8.1 Our IP

All content, features, and functionality of the Qantara AI platform, including but not limited to software, algorithms, designs, graphics, and text, are owned by Qantara AI or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You agree not to reproduce, modify, distribute, or reverse-engineer any part of the Service without explicit written permission.

8.2 Your Content

You retain ownership of any content you submit to the platform, including profile information, messages, and uploaded documents. However, by posting content to the Service, you grant Qantara AI a non-exclusive, royalty-free, perpetual, and worldwide license to use, display, and analyze your content for the purposes of operating, improving, and marketing the Service. This includes the right to display your profile information to other users as part of the matching and introduction process.

9. Confidentiality

You agree to keep confidential any non-public information shared by other users through the platform. You may not disclose, sell, or use such information for purposes other than evaluating potential business opportunities on the platform. This obligation does not apply to information that is publicly available or was previously known to you.

Qantara AI maintains reasonable security measures to protect user data, but we do not guarantee the absolute security of any information transmitted through the Service. You acknowledge the inherent risks associated with internet communications and agree to use the platform at your own risk with respect to data security.

10. Disclaimers

10.1 As Is

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. Qantara AI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

10.2 No Guarantee of Results

Qantara AI does not guarantee any specific business results, including sales, partnerships, investments, or other outcomes. The success or failure of any business relationship resulting from an introduction on the platform depends entirely on the efforts and decisions of the parties involved. We are not responsible for the performance, quality, safety, or legality of any goods or services provided by users.

11. Limitation of Liability

To the fullest extent permitted by law, Qantara AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Qantara AI's total liability for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Qantara AI in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Qantara AI and its owners, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property right
• Any dispute between you and another user or third party
• Any false, misleading, or fraudulent information you provide

13. Dispute Resolution

13.1 Platform Disputes

Disputes between users regarding business transactions, introductions, or interactions on the platform shall be resolved directly between the parties. Qantara AI may, at its discretion, attempt to mediate such disputes, but is under no obligation to do so. Qantara AI shall not be liable for any damages, losses, or disputes arising from transactions or relationships between users.

13.2 Disputes with Qantara AI

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship with you shall be governed by and construed in accordance with the laws of Qatar, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Qatar for the resolution of any disputes. By using the Service, you consent to the jurisdiction and venue of the courts in Qatar.

14. Term and Termination

14.1 Term

These Terms shall commence upon your acceptance and continue for an indefinite period unless terminated in accordance with this section.

14.2 Termination by User

You may terminate your account and cease using the Service at any time by providing written notice to Qantara AI at the contact information provided in Section 17.

14.3 Termination by Qantara AI

Qantara AI may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Grounds for termination may include, but are not limited to: violation of these Terms, fraudulent or illegal activity, non-payment of fees, or conduct deemed harmful to the platform or other users.

14.4 Effect of Termination

Upon termination, you must cease all use of the Service. Your profile and any content you have posted may be removed from the platform. All fees and payment obligations incurred prior to termination remain due and payable. The sections on Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution shall survive termination.

15. Changes to Terms

Qantara AI reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service or by sending you an email notification. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with any other agreements or policies incorporated by reference, constitute the entire agreement between you and Qantara AI regarding the Service and supersede all prior negotiations, understandings, and agreements, whether written or oral.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 No Waiver

The failure of Qantara AI to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Qantara AI.

16.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Qantara AI. Qantara AI may assign these Terms and any of its rights under these Terms to any successor or assign without restriction.

16.5 Notices

Any notice required under these Terms shall be in writing and delivered by email, courier, or personal delivery to the addresses provided in Section 17. Notices shall be deemed received upon delivery.

16.6 Independent Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Qantara AI. You are an independent user of the platform, and Qantara AI assumes no responsibility for your conduct or the conduct of other users.
